Scope of Services
Initiate Lift provides digital marketing services including, but not limited to, search engine optimization (SEO), pay-per-click (PPC) advertising, social media marketing, and web development. The specific scope of services for each client will be determined by an individual service agreement or contract, separate from these Terms and Conditions.
Placing Orders for Goods
By placing an Order for Goods, you warrant that you have the legal capacity to enter into binding contracts. You agree to provide accurate and complete information for any Orders placed.
Order Cancellation and Returns
- Company Right to Cancel: We reserve the right to cancel Orders at any time for reasons such as:
- Availability issues.
- Errors in Goods descriptions or pricing.
- Suspected fraud or illegal transactions.
- Your Right to Cancel: You may cancel Orders as outlined in our Returns Policy. Goods eligible for returns must be in original condition and packaging. Returns may not be accepted for custom, perishable, or sealed Goods if opened after delivery.
Pricing, Payment, and Subscriptions
- Pricing Policy: Prices may be revised prior to accepting an Order due to external factors like currency changes or shipping cost adjustments. We will notify you of any price changes before finalizing your Order.
- Subscription Services: Subscriptions are billed in advance on a recurring basis based on your chosen plan. Subscriptions renew automatically unless canceled by you or the Company.
- Refunds: Subscription fees are non-refundable unless required by law. Refunds for Goods and Services are considered on a case-by-case basis.
Performance Disclaimer
While we strive to achieve the best possible results, we do not guarantee specific outcomes, such as search engine rankings, ad conversions, or other metrics, as these can be influenced by factors beyond our control.
Client Obligations
To ensure effective and timely service, clients agree to provide necessary information, feedback, and approvals within specified timeframes. Any delays caused by the client’s lack of cooperation may affect the timeline and outcome of the services provided.
Intellectual Property for Created Content
Unless otherwise agreed in writing, Initiate Lift retains ownership of all intellectual property, including graphics, copy, and other marketing materials created for use in client campaigns. Clients are granted a limited license to use these materials only for the agreed-upon purposes.
Data and Confidentiality
We handle client information with the utmost care and confidentiality. Any access to sensitive or proprietary information shared by the client will be restricted to employees or third-party contractors who need it to perform the contracted services.
Third-Party Platforms and Services
Our services may integrate or rely on third-party platforms, including but not limited to Google Analytics, Facebook Ads, and other API-based services. We are not responsible for interruptions or changes to these services and cannot guarantee continued access to or compatibility with third-party tools.
Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of data, profits, or other intangibles.
In states where limitations on implied warranties or liability are not permitted, our liability will be limited to the greatest extent permitted by law.
Disclaimer of Warranties
Our Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied. We do not warrant that our Service will be uninterrupted, error-free, or free from viruses.
Governing Law and Disputes Resolution
These Terms are governed by the laws of the State of Maryland, United States. Any disputes should be initially attempted to be resolved informally by contacting the Company.
For EU Users: If you are an EU resident, you are entitled to the protections of your country’s mandatory consumer laws.
Compliance with U.S. Laws
You agree that you are not located in a country subject to a U.S. government embargo or designated as “terrorist supporting” by the U.S. government and that you are not listed on any U.S. government restricted parties list.
Severability and Waiver
If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in effect. Failure to exercise a right does not waive the right to exercise it later.
